But does every promise become a <strong>contract<\/strong>?<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The answer is <strong>no<\/strong>. A contract is more than just an agreement between two people. The law recognises an agreement as a contract only when certain essential requirements are fulfilled.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>What Is a Contract?<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Under <strong>Section 2(h) of the Indian Contract Act, 1872<\/strong>, a contract is <strong>an agreement enforceable by law<\/strong>.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">In simple words:<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Contract = Agreement + Legal Enforceability<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">An agreement becomes a contract when the law recognises it as creating enforceable rights and obligations.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>What Is an Agreement?<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">An agreement is created when one person&#8217;s <strong>promise or set of promises<\/strong> is accepted by another.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">For example, A offers to sell his bicycle to B for \u20b95,000 and B agrees to buy it for \u20b95,000. This creates an <strong>agreement<\/strong>. Whether it becomes a contract depends on whether the legal requirements are satisfied.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Essentials of a Valid Contract<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">For an agreement to become a valid contract, some basic requirements must be present:<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>1. Offer and Acceptance<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">There must be a valid <strong>offer<\/strong> by one party and <strong>acceptance<\/strong> by the other.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>2. Intention to Create Legal Relations<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The parties must intend their agreement to have <strong>legal consequences<\/strong>. A casual promise between friends, such as promising to meet for lunch, normally does not create a contract.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>3. Lawful Consideration<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">There must generally be <strong>consideration<\/strong>, meaning something of value exchanged between the parties.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>4. Capacity of Parties<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The parties must be legally capable of entering into a contract. For example, a person must generally be of the required age and of sound mind.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>5. Free Consent<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The parties must agree <strong>freely and voluntarily<\/strong>. Consent obtained through coercion, fraud, undue influence or misrepresentation may affect the validity of the contract.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>6. Lawful Object<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The purpose of the agreement must be <strong>lawful<\/strong>. An agreement to do something illegal cannot become a valid contract.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>7. The Agreement Must Not Be Declared Void<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Certain agreements are specifically treated as <strong>void by law<\/strong> and therefore cannot be enforced as contracts.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Agreement vs Contract<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">This is an important distinction for CLAT.<\/p>\n\n\n\n<figure class=\"wp-block-table\"><table class=\"has-fixed-layout\"><thead><tr><td><strong>Agreement<\/strong><\/td><td><strong>Contract<\/strong><\/td><\/tr><\/thead><tbody><tr><td>A broader concept<\/td><td>A legally enforceable agreement<\/td><\/tr><tr><td>May or may not be enforceable<\/td><td>Enforceable by law<\/td><\/tr><tr><td>Every agreement is not a contract<\/td><td>Every valid contract is an agreement<\/td><\/tr><\/tbody><\/table><\/figure>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Remember:<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>All contracts are agreements, but all agreements are not contracts.<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Example<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Riya agrees to sell her old laptop to Aman for \u20b925,000. Aman agrees to pay the amount, and both parties voluntarily enter into the arrangement. If the essential requirements of a valid contract are satisfied, their agreement can become a <strong>legally enforceable contract<\/strong>.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Why Is This Important?<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Contract questions often give you a situation where <strong>one or more essentials are missing<\/strong>. Your task is not to decide whether the arrangement seems fair. Instead, check whether the <strong>legal requirements of a contract<\/strong> are satisfied.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">When you see a contract problem, ask:<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>1. Was there an offer?<\/strong><br>\u2193<br><strong>2. Was it accepted?<\/strong><br>\u2193<br><strong>3. Was there consideration?<\/strong><br>\u2193<br><strong>4. Were the parties competent?<\/strong><br>\u2193<br><strong>5. Was consent free?<\/strong><br>\u2193<br><strong>6. Was the object lawful?<\/strong><br>\u2193<br><strong>7.
