For a contract to be valid, the parties must agree freely. If a person agrees because of pressure, deception, unfair influence or a serious mistake, the law may not treat that consent as free.

Under Section 14 of the Indian Contract Act, 1872, consent is considered free when it is not caused by:

Coercion

Undue Influence

Fraud

Misrepresentation

Mistake

Let us understand these in simple terms.

1. Coercion — Consent Under Threat

Coercion occurs when a person is forced to enter into an agreement through an unlawful threat or act, or through unlawful detention of property.

Example:
A threatens to harm B unless B signs an agreement selling his car to A. B signs because of the threat. The consent is not free.

Key idea: “I agreed because I was threatened.”

2. Undue Influence — Unfair Use of Power or Position

Undue influence occurs when one party is in a position to dominate the will of another and uses that position to obtain an unfair advantage.

It can arise where there is a relationship involving trust, authority or dependence.

Example:
A caregiver persuades an elderly person who depends heavily on them to transfer valuable property for a very low price by taking unfair advantage of that dependence.

Key idea: “I agreed because you had undue influence over me.”

3. Fraud — Intentional Deception

Fraud involves deliberate deception. A person knowingly makes a false statement, hides an important fact, or otherwise deceives another with the intention of inducing them to enter into the contract.

Example:
A knows that a machine is defective but deliberately tells B that it is in perfect working condition to convince B to buy it.

Key idea: “You knew it was false and deliberately deceived me.”

4. Misrepresentation — False Statement Made Innocently

Misrepresentation occurs when a false statement is made without an intention to deceive, but the other party relies on it and enters into the contract.

Example:
A honestly believes that a painting is an original and tells B that it is original. B buys it, but later discovers that it is not.

Key idea: “You were wrong, but you did not deliberately deceive me.”

5. Mistake — Wrong Belief About an Important Fact

Mistake occurs when one or both parties have an incorrect understanding of an important fact relating to the agreement.

A bilateral mistake about an essential fact can make an agreement void under the Contract Act.

Example:
A agrees to sell B a specific horse, but unknown to both parties, the horse had already died. There is a mistake regarding an essential fact.

Key idea: “We entered the agreement based on a wrong belief.”

Fraud vs Misrepresentation

This is a common CLAT distinction:

Fraud

Misrepresentation

Intentional deception

No intention to deceive

Person knows the statement is false

Person believes the statement to be true

Designed to induce the other party

False statement is made innocently

Why Is This Important?

CLAT questions often test whether you can identify why consent was not free from a given fact situation.

The key is not to memorise definitions alone. Look for the reason behind the person’s consent:

Threat → Coercion

Dominating position + unfair advantage → Undue Influence

Deliberate deception → Fraud

Innocent false statement → Misrepresentation

Wrong belief about essential fact → Mistake

Approach

When you see a problem on free consent, ask:

1. Was the person forced? → Coercion
2. Was someone’s position of power or trust misused? → Undue Influence
3. Was there deliberate deception? → Fraud
4. Was there a false statement without intention to deceive? → Misrepresentation
5. Was there an important factual mistake? → Mistake

Practice Question

Principle:

Consent obtained through deliberate deception is not free. A false statement made without an intention to deceive may amount to misrepresentation.

Facts:

Riya wants to buy a second-hand car from Aman. Aman knows that the car had previously suffered serious accident damage, but deliberately tells Riya that the car has never been involved in an accident. Relying on his statement, Riya purchases the car.

Question:

What is the most appropriate legal position?

A. Riya’s consent is free because she voluntarily purchased the car.
B. Aman has committed misrepresentation because he made a false statement.
C. Aman has committed fraud because he knowingly made a false statement to induce Riya to purchase the car.
D. The agreement is automatically valid because the car was delivered to Riya.

Answer: C — Fraud

Explanation:

Aman knew that his statement was false and deliberately made it to induce Riya to enter into the contract. The presence of intentional deception makes it fraud, not mere misrepresentation.

Is saying “yes” always enough to make a contract valid?
